1. Introduction

These Terms & Conditions ("Terms") govern your access to and use of AgentSkillsFactory.com and any Skills, software, training, templates, workflows, documentation, downloads, support resources, commercial materials or related products and services supplied by Hodgkinson Publishing Ltd.

By using the website, purchasing or accessing a product or service, or otherwise using materials supplied by us, you agree to these Terms.

2. Business and Professional Terms

AgentSkillsFactory is intended primarily for business, commercial, professional, entrepreneurial, educational and organisational use. By purchasing or accessing a paid product or service, you confirm that you are at least 18, are acting for business or professional purposes where applicable, have authority to bind any organisation on whose behalf you act, and will comply with applicable law and these Terms. Nothing in these Terms excludes mandatory rights that cannot lawfully be excluded.

AgentSkillsFactory may provide AI Skills, related build systems, training, workflows, templates, documentation, software, examples, commercial resources, updates and supporting utilities. The exact contents, access arrangements, licences, pricing and delivery terms of any paid offer will be stated on the relevant offer or checkout page.

We may add, replace, update, rename, improve, restrict, suspend or discontinue individual resources over time. We do not guarantee permanent availability of any particular third-party platform, AI model, feature or external service.

Where an account or protected-access area is provided, access is for the purchaser or authorised account holder unless a separate licence expressly permits additional users. You must provide accurate information, keep credentials confidential, use appropriate account security and notify us of suspected unauthorised access.

6. Licence to Use Our Materials

Subject to payment where applicable and compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the AgentSkillsFactory materials supplied to you for the purposes and within the rights stated for that specific product or service.

Unless a separate written licence expressly grants broader rights, this licence does not transfer ownership of AgentSkillsFactory branding, proprietary Skills, instructions, workflows, methods, frameworks, training, documentation, code, templates, downloads or other intellectual property.

7. User-Created Outputs and Commercial Rights

Some AgentSkillsFactory products may help users create Skills, software, documents, copy, systems or other outputs. Rights in those outputs may vary according to the specific product, source material, third-party platform terms and any licence supplied with the relevant offer.

Where a product includes commercial, white-label, private-label, resale or other extended rights, those rights will be stated expressly in the licence accompanying that product. Do not assume such rights apply unless they are granted in writing.

No licence to a user-created output permits you to redistribute, clone, publish, extract or resell AgentSkillsFactory itself or our proprietary systems, training, prompts, frameworks, Skill instructions, source materials or other protected resources unless expressly authorised.

8. Acceptable Use

You must not use the website, products, Skills, systems or outputs to break the law; infringe intellectual-property, privacy or confidentiality rights; create malware, phishing, credential theft or cyber abuse; produce fraudulent evidence; impersonate others; submit data you are not authorised to process; bypass access controls; extract protected instructions or proprietary systems; or engage in unlawful, deceptive or abusive activity.

High-risk, regulated or safety-critical uses require appropriate qualified human oversight and compliance review.

9. AI Services and Outputs

AgentSkillsFactory products may be designed for use with third-party AI services. Those services may change models, policies, limits, features, pricing or availability without our control.

AI-generated or AI-assisted outputs may be inaccurate, incomplete, outdated, biased, duplicated, non-unique or unsuitable. You are responsible for reviewing, testing, editing, validating and approving outputs before publishing, selling, licensing, deploying or relying on them.

10. Your Content

You retain rights in content you supply directly to us, subject to the rights reasonably necessary for us to provide support or operate services we control. You are responsible for ensuring you have the rights and lawful basis to submit any files, data, client information, instructions or other content to the systems you choose to use.

11. Confidentiality and Sensitive Information

Do not submit confidential, privileged, regulated or highly sensitive information to AI services or software unless you have authority to do so and have assessed the relevant security, privacy, contractual and legal risks. Never place passwords, API keys or payment credentials into ordinary prompts or tools unless the system is specifically designed and secured for that purpose.

12. AgentSkillsFactory Intellectual Property

All rights in AgentSkillsFactory branding, websites, proprietary Skills, workflows, methods, frameworks, training, documents, designs, copy, code and other proprietary materials belong to Hodgkinson Publishing Ltd or its licensors, except where a specific written licence states otherwise.

You must not reverse engineer, scrape, extract, publish, reproduce, sell, clone or train competing systems on our proprietary materials except where expressly permitted in writing.

13. Feedback

If you voluntarily provide feature requests, suggestions or improvement ideas about AgentSkillsFactory, you allow us to use that feedback to improve and develop our products without obligation to compensate you, while not transferring ownership of your independently created materials.

14. Third-Party Services

The website and future products may depend on or link to third-party AI platforms, hosting providers, browsers, checkout providers, payment processors, email systems, customer-access platforms or other services. We are not responsible for third-party downtime, policy changes, pricing, model changes, account restrictions, security incidents or discontinuation.

15. Availability and Changes

We aim to provide useful, reliable resources but do not guarantee uninterrupted, error-free or permanent availability of any particular website, Skill, tool, platform, model or feature. We may update, replace, restrict or discontinue resources for maintenance, security, legal, technical, provider or business reasons.

16. Purchases, Pricing and Payment

Where paid products or services are offered, you agree to pay the amount shown at checkout and to the specific payment, delivery, licence and refund terms displayed for that offer. Prices may change for future purchases but will not retrospectively alter a completed purchase. You are responsible for applicable taxes, VAT, duties, foreign-exchange charges or similar amounts where legally applicable.

17. Compliance With Laws

You are responsible for complying with laws, regulations, industry rules, client contracts and third-party platform policies applicable to your business, use of AI, outputs and commercial activities, including where relevant privacy, data protection, AI governance, advertising, intellectual property, consumer protection, email marketing, tax, employment, financial promotion, confidentiality and professional rules.

18. No Professional Advice

AgentSkillsFactory materials are provided for general business, educational, technical, productivity, creative, marketing and informational purposes. They are not legal, financial, tax, accounting, medical, investment, insurance, employment, HR, regulatory, cybersecurity or other regulated professional advice.

19. Disclaimers and No Warranty

To the fullest extent permitted by law, the website, Skills, tools, training, templates, code, outputs and services are provided "as is" and "as available". We do not warrant that a resource will meet your requirements, be accurate, secure, compliant, original, error-free, uninterrupted, commercially successful or suitable for publication or deployment without review.

20. Limitation of Liability

Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Subject to that, to the fullest extent permitted by law we are not liable for lost profit, revenue, sales, contracts, goodwill, reputation, anticipated savings, data, use, business interruption, wasted expenditure, inaccurate AI output, third-party failure or indirect, special or consequential loss arising from your use of AgentSkillsFactory or related outputs.

Where you have purchased a paid AgentSkillsFactory product or service, our aggregate liability relating to that purchase will not exceed the amount paid by you for the relevant product or service or £100, whichever is greater, to the fullest extent permitted by law.

21. Indemnity

You agree to indemnify and hold harmless Hodgkinson Publishing Ltd and its directors, employees, contractors, suppliers and licensors from third-party claims, losses and reasonable costs arising from your unlawful use, breach of these Terms, content, outputs, infringement of third-party rights, unauthorised data processing or commercial claims made by you, to the extent permitted by law.

22. Suspension and Termination

Where account or product access exists, we may suspend, restrict or terminate it where we reasonably believe you have breached these Terms, shared credentials, redistributed protected materials, attempted to extract proprietary systems, created a security or legal risk, used the service unlawfully, or where payment has failed or been reversed.

23. Updates to These Terms

We may update these Terms as AgentSkillsFactory, applicable law or third-party platforms evolve. The current version will be published at AgentSkillsFactory.com/terms.html.

24. Privacy

Your use of AgentSkillsFactory is also subject to our Privacy Policy.

25. Force Majeure

We are not responsible for delay or failure caused by events beyond our reasonable control, including internet or hosting failure, cyberattack, third-party outages, AI-provider changes, payment-processor failure, natural disaster, war, government action, changes in law or platform restrictions.

26. Assignment

You may not transfer your obligations or protected access rights under these Terms without our written consent unless the relevant licence expressly permits it. We may assign or transfer our rights and obligations as part of ordinary business operations, restructuring or sale of the relevant business.

27. Severability and No Waiver

If a provision is found invalid or unenforceable, the remaining Terms continue in effect and the affected provision will be interpreted to preserve its intended lawful commercial effect as far as possible. Failure to enforce a provision immediately does not waive our right to enforce it later.

28. Entire Agreement

These Terms, together with the Privacy Policy, Disclaimer, any checkout terms and any separate written licence expressly incorporated into a product or transaction, form the agreement between you and us regarding AgentSkillsFactory. A separate written licence supplied with a specific resource controls to the extent it expressly grants additional rights.

29. Governing Law and Jurisdiction

These Terms and any dispute or claim arising from them are governed by the laws of England and Wales. Subject to mandatory rights that apply, the courts of England and Wales have exclusive jurisdiction.
